Your company can set up either a branch office (basically a permanent establishment) in Norway in the form of a NUF (Norsk Utenlandsk Foretak) or a subsidiary in the legal form of an AS (Aksjeselskap). In many cases it makes little difference in daily practice whether you operate a NUF or a AS. The advantage of a NUF is certainly that it can be easily registered and quickly deleted again. You don’t need a Board or to organize shareholder meetings. The advantage of an AS is that the accounting can be kept apart from the parent company more easily than what is the case with a branch. This can be important with regard to the arm's length principle. The AS also enjoys a better “image” than the NUF.

 

NUF – Norsk registrert Utenlandsk Foretak

Translated, NUF means: a foreign company registered in Norway. In practice, the foreign company – e.g. a German GmbH – entered in the Norwegian business register (Brønnøysundregistrene) on the basis of the extract from the commercial register. A Norwegian company number – the so-called Org. Nr. – is then assigned. When setting up the bookkeeping, the business transactions with the parent company or the affiliated companies must be examined in particular and suitable routines and strategies must then be defined. Like Germany, Norway has also implemented the principles of the AOA - Authorized OECD Approach - into national law. According to the AOA, a permanent establishment is to be attributed the profits or losses that it would achieve - especially in its economic relationships (so-called dealings) with the rest of the company - if it were an independent and independent company.

 

AS - Aksjeselskap

The AS is a corporation and is comparable to the German GmbH. The minimum capital is NOK 30,000. The company is managed in two stages: the day-to-day business is taken care of by Daglig Leder (comparable to a CEO) - the so-called styret is also to be filled. Styret can be translated as control and has the task of setting the company's longer-term goals and performing organizational and control tasks. In transactions with affiliated companies, transfer pricing is a topical issue. If the persons entrusted with the management do not take over the business from Norway, but e.g. B. operates from Germany, attention should be paid to the topic of management permanent establishments. In these cases, the aspect of sales tax (particularly because of the location of the other service) should also be checked separately.
